Terms of Service

1. The parties

These terms form an agreement between Saiphix.com (“we”, “us”), the operator of Saiphix, and the people who use the service. A “community owner” is a customer who subscribes in order to run a private community. A “member” is an end user who applies to join that community.

2. The service

Saiphix is a community access management service. The community owner sets the conditions under which someone may join and the conditions under which they may stay. The system checks the information a member provides against the data the community owner uploads or connects, then automatically issues invitations to the private chat group, sends reminders and revokes access on schedule. We charge a subscription fee for the use of the software.

3. Scope of the service

Saiphix is access management software. We do not provide banking, brokerage or asset advisory services; we do not advise on whether to buy or sell anything; and we do not receive, hold or transfer funds belonging to community owners or to members. Nor are we an intermediary collecting payments between a community owner and their members.

4. Joining conditions set by the community owner

All joining conditions and conditions for staying are set by the community owner. We simply enforce those rules against the data provided; we do not assess whether a rule is reasonable or lawful.

5. Responsibilities of the community owner

• The accuracy and lawfulness of the data they upload, and their right to use it.
• All content posted and all activity within their own community.
• Clearly informing members of the joining conditions before collecting their information.
• Complying with applicable law and with the rules of the chat platform in use.

6. Information members share

Members share only the identifiers necessary to check the conditions — for example an account ID, an order number or a membership number. We will never ask for your password, security keys or access to your account on any other service. Do not give that information to anyone claiming to act on behalf of Saiphix.

7. Acceptable use

Do not use the service to distribute unlawful or fraudulent content or content that infringes the rights of others; do not knowingly submit identifiers that are not your own; and do not interfere with or attempt to circumvent the system.

8. Payment

Subscription payments may be processed by a merchant of record named at checkout. That party is responsible for issuing the invoice and for handling any taxes applicable to the transaction. Our refund policy is set out on the Refund page.

9. Service level and limitation of liability

The service is provided “as is”. We make reasonable efforts to keep it running continuously but do not warrant that it will be uninterrupted or error-free. To the extent permitted by law, our total liability to any one customer will not exceed the subscription fees that customer paid in the 12 months immediately preceding the event giving rise to the liability.

10. Termination

A customer may cancel their subscription at any time; the service continues to run until the end of the billing period already paid for. We may suspend or terminate any account that breaches these terms or applicable law.

11. Changes to these terms

We may update these terms. Material changes will be notified to customers by email before they take effect.

12. Governing law

These terms are governed by the laws of the jurisdiction in which the operator of Saiphix.com is established. Disputes will be resolved before the competent courts of that jurisdiction.
